A Framework for Evaluating Off-Plan Developers

Governance, delivery history, escrow structure, and the questions to ask before signing an SPA.

Why the developer matters more than the render

In off-plan, you are not buying an apartment — you are buying a promise, secured by an escrow structure, that a specific unit will be delivered to a specific standard on a specific date. Everything else follows from the credibility of the counterparty.

The single most predictive signal is delivery history: units handed over on time, at the specified specification, and with a functioning owners' association after handover.

Governance and financial substance

Ownership structure: is the developer government-linked, listed, family-owned or a special-purpose vehicle? SPVs used for a single project carry the highest risk.

Balance sheet: for private developers, look for evidence of equity funding beyond off-plan installments — land held, cash reserves, banking relationships.

Track record across cycles: developers that delivered through 2015–2019 have demonstrated something SPVs launched in 2023 have not.

Escrow, Oqood and RERA compliance

Every off-plan project must have a dedicated escrow account registered with RERA. Payments from buyers go into escrow and are released against verified construction milestones.

Oqood registration provides interim title in the DLD system before final title deed issuance at handover. Insist on Oqood registration and verify it.

Understand the payment plan: front-loaded plans transfer more risk to the buyer; post-handover plans transfer risk to the developer but may price higher.

Questions to ask before signing the SPA

What is the anticipated completion date, and what happens contractually if it slips 6, 12 or 24 months?

What is the specification schedule and finish standard? Is there a materials list annexed to the SPA?

Who is the appointed contractor, and what is their delivery history?

What is the projected service charge per sqft, and how was it calculated?

What are the resale restrictions before handover, and the DLD/agent fees if I resell?
